Terms of Service

Satjana LLC ("Satjana", "we", "us", "our") operates the platform available at closertotheself.com and the broader Satjana platform of which it is a part (the "Platform"). These Terms of Service (the "Terms") govern your access to and use of the Platform. By using the Platform you agree to be bound by these Terms.
If you do not agree, do not use the Platform.
1. Definitions
- "Content" means anything uploaded, posted, transmitted, or displayed on the Platform — text, audio, video, images, courses, classes, events, comments, profiles, reviews, etc.
- "User" means any person who accesses the Platform.
- "Guide" means a User who teaches or sells offerings on the Platform.
- "Contributor" means a User who submits Content for admin review (without full Guide privileges).
- "Student" (also "Practitioner") means a User who consumes content, attends classes, or purchases offerings.
- "Tenant" means a branded community on the Platform (e.g., the Closer to the Self community).
2. Eligibility
You must be at least 18 years of age to create an account or use the Platform. By using the Platform you represent that (a) you are at least 18, (b) you have the legal capacity to enter into these Terms, and (c) your use does not violate any law applicable to you.
The Platform is not directed to children under 13, and we do not knowingly collect personal information from children under 13 (see our Privacy Policy for our COPPA position).
3. Account Registration
To use most Platform features you must create an account. You agree to (a) provide accurate, current, and complete information; (b) keep your credentials confidential; (c) be responsible for all activity under your account; and (d) notify us promptly of any unauthorized use.
We may refuse, suspend, or terminate accounts at our discretion, including for violations of these Terms.
4. Acceptable Use
You agree not to use the Platform to:
- Violate any law, regulation, or third-party right (including intellectual property, privacy, or publicity rights)
- Upload or transmit malware, viruses, or harmful code
- Engage in unauthorized access, scraping, or data harvesting
- Harass, threaten, defame, or impersonate any person
- Promote violence, discrimination, hate speech, or sexually explicit content
- Make false claims about medical, psychological, or therapeutic outcomes
- Interfere with the operation of the Platform or other Users' enjoyment of it
- Solicit information from minors
We may remove Content or terminate accounts for violations.
5. Content & Intellectual Property
Your Content. You retain ownership of any Content you submit. You represent and warrant that (a) you own your Content or have all necessary rights, licenses, and consents to publish it; (b) your Content does not infringe any copyright, trademark, trade-secret, right of publicity, right of privacy, or other proprietary right of any third party; and (c) your Content complies with these Terms and applicable law.
License to Satjana. By submitting Content, you grant Satjana a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, perform, distribute, transmit, and create technical adaptations of your Content solely for the purpose of operating, providing, promoting, and improving the Platform. This license terminates when you remove the Content, except as needed for (i) backups, (ii) honoring active Student purchases, or (iii) compliance with law.
Platform IP. The Platform itself — including software, design, trademarks, and branding — is owned by Satjana and protected by U.S. and international intellectual property law. Nothing in these Terms grants you any right in our IP except the limited license to use the Platform.
6. Copyright Policy (DMCA)
Satjana respects intellectual property rights and operates a notice-and-takedown procedure consistent with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. Satjana LLC is registered with the U.S. Copyright Office Designated Agent Directory under registration number DMCA-1071524 (effective April 18, 2026).
If you believe Content on the Platform infringes your copyright, please send a written notice to our Designated Agent containing:
- A physical or electronic signature of the copyright owner (or authorized agent)
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material with enough detail to locate it
- Your contact information (address, phone, email)
- A statement that you have a good-faith belief the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on the copyright owner's behalf

We will respond to valid notices in accordance with the DMCA, including by removing or disabling access to the allegedly infringing material. We will also notify the user who posted the material, who may submit a counter-notice. We terminate the accounts of repeat infringers in appropriate circumstances. Misrepresentations in a DMCA notice may give rise to liability under 17 U.S.C. § 512(f).
7. Commerce, Payments & Refunds
Stripe Connect. Paid offerings on the Platform are processed through Stripe Connect. When you purchase from a Guide, the Guide is the merchant of record for that transaction; Satjana acts as a technology facilitator. Stripe's Terms of Service and Privacy Policy apply to payment processing.
Pricing & taxes. Prices are shown in the currency listed at checkout. You are responsible for any taxes applicable to your purchase that are not collected by us at checkout.
Refunds. Refunds are governed by the policy of the Guide selling the offering. Satjana facilitates refunds when initiated by the Guide. You should review the Guide's stated refund policy before purchase. Where required by law, statutory refund rights apply notwithstanding any conflicting policy.
Subscriptions. If you purchase a recurring subscription, it will renew automatically until cancelled. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period and does not entitle you to a refund of fees already charged unless required by law or the Guide's policy.
Platform fees. Satjana may charge a service fee on transactions, displayed transparently in seller dashboards.
8. Forms, Waivers & Electronic Signatures
Required forms. Some Platform features — including class enrollment, event registration, 1:1 booking, and onboarding as a Guide or Contributor — may require you to complete a form (intake, waiver, registration, or consent) before you can participate. Required forms are gating: if you decline to complete a required form, you will not be granted access to the underlying offering.
Liability waivers. When a class, event, or session involves physical practice (asana, breathwork, kriyas, somatic work, etc.) or work that may surface emotional or psychological material, you may be asked to sign a liability waiver acknowledging the risks and releasing the Guide and Satjana from liability to the extent permitted by law. A waiver is a binding agreement; please read carefully before signing.
Electronic signatures. You agree that your electronic signature on a form (typed name, drawn signature, or affirmative checkbox where the form designates the action as a signature) has the same legal effect as a handwritten signature. This Platform relies on the federal Electronic Signatures in Global and National Commerce Act (E-SIGN), 15 U.S.C. § 7001 et seq., the Uniform Electronic Transactions Act (UETA), and Texas Business & Commerce Code Chapter 322 (Texas UETA) for the legal validity of electronic signatures and records.
Records. When you submit a form, we record (i) the answers you provide, (ii) your signature where applicable, (iii) the date and time of submission, (iv) the form template version in effect at submission, and (v) limited technical metadata (IP address) sufficient to demonstrate authentication. These records are retained as described in our Privacy Policy and may be shared with the relevant Guide solely as needed to deliver the offering.
Withdrawing consent. You may withdraw consent or revoke a waiver at any time prospectively by contacting us; revocation does not undo participation that has already occurred.
9. Wellness & Educational Content — Not Medical Advice
Content on the Platform — including mindfulness, yoga, breathwork, meditation, contemplative-arts, and wisdom-tradition practices — is provided for wellness and educational purposes only and is NOT a substitute for professional medical, psychiatric, psychological, nutritional, or legal advice.
You should consult a qualified health-care professional before beginning any new physical or contemplative practice, especially if you have any health condition, are pregnant, or are taking medication. Stop any practice and seek appropriate care if you experience pain, dizziness, distress, or any adverse symptom.
Guides on the Platform are independent practitioners. Unless a Guide is separately licensed and clearly identifies as such, the Guide is not providing medical, mental-health, or legal services. Satjana does not endorse or warrant the qualifications of any Guide and makes no representations about the safety or efficacy of any practice.
10. Termination
You may stop using the Platform at any time. You may delete your account through your account settings or by contacting us.
We may suspend or terminate your access to all or part of the Platform, with or without notice, if (a) you breach these Terms, (b) we are required to do so by law, or (c) we discontinue the Platform or a feature.
Upon termination, the licenses you have granted us survive only as needed to honor Student purchases, maintain backups, and comply with law. Sections 5 (your representations and our IP), 6 (DMCA), 8 (Wellness Disclaimer), 11–14 (Disclaimers, Liability, Indemnification, Arbitration), and any other terms that by their nature should survive will survive termination.
11. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SATJANA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY CONTENT IS ACCURATE, COMPLETE, RELIABLE, OR SAFE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SATJANA, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SATJANA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SATJANA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability; in such cases the disclaimers and limits in this section apply to the maximum extent permitted.
13. Indemnification
You agree to defend, indemnify, and hold harmless Satjana, its affiliates, officers, employees, agents, and partners from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to:
- Your Content
- Your use of the Platform
- Your breach of these Terms
- Your violation of any law or third-party right
14. Dispute Resolution, Arbitration & Class-Action Waiver
Informal Resolution. Before filing any formal claim, please contact us at legal@closertotheself.com so we can try to resolve the dispute informally. Both parties will make a good-faith effort to resolve the matter for at least 30 days before initiating a formal proceeding.
Binding Arbitration. EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL-CLAIMS COURT, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform — including their formation, interpretation, breach, or termination — will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Williamson County, Texas, in the English language. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act and the Texas General Arbitration Act govern the interpretation and enforcement of this section.
Class-Action Waiver. YOU AND SATJANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@closertotheself.com within thirty (30) days of first accepting these Terms. Opting out does not affect any other portion of the Terms.
Governing Law & Venue. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. For disputes not subject to arbitration, you and Satjana submit to the exclusive jurisdiction of state and federal courts located in Williamson County, Texas.
15. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you (e.g., by email or in-app notice) and update the "Last updated" date above. For material changes we may bump the terms version, which will require you to re-accept on your next login. Your continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
16. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any applicable consent forms (Guide Consent, Contributor Consent, Liability Waiver, intake or registration forms) you have signed, constitute the entire agreement between you and Satjana regarding the Platform.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign without restriction.
No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Satjana.
Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond reasonable control.
Notices. Notices to you may be given by email to the address on your account. Notices to us must be sent to legal@closertotheself.com with a copy to Satjana LLC, 110 N Interstate 35, Suite 315-950, Round Rock, TX 78681.
